1.3.2 Your audio

All audio watermarking is performed exclusively on the local device upon which you installed the Products (including, but not limited to, Software Packages, Software Development Toolkits (SDKs)).

Audio signals are transmitted to the Company’s servers only when you use the detection service, and are processed there solely for the purpose of detecting marks within them.

When the detection of an audio signal submitted to the detection service cannot be completed at the time of the request, you acknowledge and agree that the Company may retain that audio signal on its servers for as long as necessary to complete that detection. This retention is a limited right exercised solely for the purpose of completing that detection, and the Company does not use that audio signal for any other purpose. Audio signals retained pending the completion of a detection are permanently deleted once that detection is completed. Notwithstanding the preceding sentences, the Company may retain an audio signal for as long as necessary for the establishment, exercise, or defense of legal claims.

By accepting these Terms, you expressly acknowledge and agree that the Company exercises no control whatsoever over any material processed by you through the Products.

By using any of our Products, you acknowledge and agree that you are solely responsible for ensuring compliance with all applicable laws and regulations regarding the material you process through our Products.

You retain full ownership and control over all audio material processed through the Products. The processing of audio signals through the use of the Products, including their retention on the Company’s servers, shall not be construed to confer upon the Company any ownership, rights, title, or interest, whether in whole or in part, in either the input or output signals.

1.4 Liability

By using any of our Products, you expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Products; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Products; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to these Terms or the Products, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.

You are solely responsible for your use of our Products and any applications built using them.

When using our Products, you must ensure that the Users making use of your Account comply with all applicable laws and regulations and respect the Terms of this License.

You are prohibited from using our Products for any unlawful, harmful, or infringing purposes.

Choosing to use our Products does mean you are making a bet on us. If the bet does not work out, that’s on you, not us. We do our darnedest to be as safe a bet as possible through careful management of our business; investments in security, infrastructure, and talent; and in general taking care. If you choose to use our Products, thank you for betting on us.

1.5. Warranties

We provide no warranties of any sort.

You use our Products at your sole risk. We provide these Products on an “as is” and “as available” basis.

We make no guarantees that our Products will meet your specific requirements or expectations.

We test our features extensively before shipping them. As with any software, our Products inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don’t guarantee completely error-free Products.

1.5.1 Service Level Agreement (SLA)

We do not offer Service-Level Agreements (SLA), but do take uptime of our Services very seriously. Visit our Status Page (https://status.cobalstamp.dev) to see the status of our Products. No express or implied warranty is provided with respect to any specific SLA threshold.

Notwithstanding the foregoing, in the event that any day is determined to have experienced significant downtime, we will do our best to provide compensation to affected customers in a manner deemed proportionate to the impact of such downtime. The Status Page shall constitute the authoritative source for determining the occurrence and extent of downtime. The Company expressly reserves the exclusive right to interpret the terms “significant,” “proportionate,” and “impact” in connection with this provision.

We believe the maintenance of a high service level, as evidenced by the Status Page, and the provision of a fair compensation mechanism should be convincing enough for our Users to keep using our Products.

1.5.2 Rights to Minor and Revision Updates

The purchase of a Product at a specific version entitles you to receive all minor and revision updates (i.e., updates to the last two numbers of a version number) made available for that specific major version. For example, acquisition of version 1.2.3 confers the right to access subsequent updates such as 1.2.4, 1.3.0, 1.3.1, and so forth, as long as the major version (the first number) remains the same.

The Company does not warrant or guarantee that updates to subsequent major versions (for example, version 2.x.x) will be provided to you.

1.5.3 Unauthorized Exploitation

The Company shall not be held liable for any damages, losses, or claims arising from or related to the unauthorized access to, compromise of, or tampering with the Products, whether such unauthorized access is the result of hacking, reverse engineering, circumvention of security measures, or any other form of exploitation by you or any third parties.

This provision also applies in circumstances where a third party gains unauthorized access to, or circumvents, restrictions or limitations intended solely for the benefit of the Purchase Agreement, Offer, Quote, Account, Tier granted to you.

1.6 Data Commitments

This section sets forth the Company’s contractual commitments regarding your data. The handling of audio signals is governed by Section 1.3.2 (Your audio). Additional information regarding data processing practices is made available in our Privacy Policy, published on our Website, in compliance with applicable data protection regulations. The content and accessibility of the Privacy Policy are provided for informational and regulatory purposes only and do not constitute contractual obligations.

1.6.1 Data Collected

The Company collects and retains only the data strictly necessary to provide the Products, process billing, and comply with applicable legal obligations. The categories of data collected are:

  • Billing data: Name, address, payment records, and past invoices required for service delivery and tax compliance.

  • Billing-related usage metrics: Data necessary to track consumption against your subscribed quota for invoicing purposes.

  • Anonymized usage statistics: Fully anonymized usage metrics collected for product improvement, issue detection, and aggregate analytics. These metrics contain no personal data and cannot be linked back to any individual user or account.

1.6.2 No Sale of Personal Data

The Company will not sell, rent, or exchange your personal data to any third party for any purpose.

1.6.4 Data Retention Commitment

The Company will retain your personal data only for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable law (including tax and accounting obligations). Upon expiration of the applicable retention period, the data will be permanently deleted. The Company may retain data necessary for the establishment, exercise, or defense of legal claims.

1.6.6 Data Rights

You may exercise your data protection rights, including access, rectification, erasure, portability, restriction of processing, and objection, at any time by contacting legal@cobalstamp.dev. The Company will respond to valid requests within the timeframes required by applicable law.

1.7 Security

The Company commits to implementing appropriate technical and organizational measures to protect your data.

1.7.1 Encryption in Transit

All communications between your device and the Company’s servers use Hypertext Transfer Protocol Secure (HTTPS).

1.7.2 Credential Security

All passwords and API keys are stored exclusively in hashed format and are never retained in plain text. The Company cannot recover lost or forgotten passwords or access keys.

1.7.3 Software Maintenance

The Company endeavors to keep the Websites and Products updated with the latest security patches and cryptographic libraries. For Products installed or deployed by you, it is your responsibility to apply updates to your systems in a timely manner.

1.8 Abuse, misuse and unacceptable use

When you use any of our Products, you must not:

  • Collect or extract information and/or user data from accounts which do not belong to you.

  • Circumvent, disable, or otherwise interfere with security-related features of the Services.

  • Trick, defraud, or mislead us or other users, including but not limited to making false reports or impersonating another user.

  • Upload or transmit (or attempt to upload or to transmit) viruses or any type of malware, or information collection mechanism, including 1x1 pixels, web bugs, cookies, or other similar devices.

  • Interfere with, disrupt, or create an undue burden on the networks or the Products connected.

  • Attempt to disrupt our Products or Websites by means of unfair competition practice.

  • Harass, abuse physically or verbally, provoke, annoy, engage into malicious rethorics, intimidate, insult or make derogatory comments, attack personally, or threaten others, or any of our employees or officers.

  • Publishing others’ private information, such as a physical or electronic address, without explicit written permission.

  • Have any other conduct which could reasonably be considered inappropriate in a professional setting.

  • Disparage, tarnish, or otherwise harm, in our opinion, us, the Company or the Products.

  • Use the Products in a manner that does not respect Copyright laws.

  • Mark any audio that you have not generated, created or transformed.

  • Mark any AI-related content as non-AI-related content.

  • Mark any non-AI-related content as AI-related content.

  • Use the Products in a manner that abuse someone’s identity.

  • Use the Products for serving violent or harassing content (doxxing, revenge pornography).

  • Use the Products in a manner inconsistent with any applicable laws or regulations, including international laws.

Cropping, trimming, resampling and other basic audio processing is not considered generation, creation or transformation work. After such processing, audio you have generated, created or transformed remains audio you have generated, created or transformed, and audio you have not generated, created or transformed remains audio you have not generated, created or transformed.

This isn’t an exhaustive list. In any doubt, feel free to email us at legal@cobalstamp.dev

We reserve right to not serve users whose connections go from or through countries that do not respect fundamental Human Rights, as per International Conventions and Treaties.

1.8.1 Unfair competitive practices

The Company reserves the right to retain any evidence of unfair competitive practices and to present such evidence before the appropriate legal authorities or jurisdictions as deemed necessary.

Pursuant to the European Union General Data Protection Regulation (GDPR), the retention and processing of any data, including personal information, is permitted to the extent that such data may be required for the resolution of disputes (See Section 1.6.4).

1.8.2 Prohibition on Competing Services

You are strictly prohibited from creating, operating, or offering a competing service that makes use of the Products. For example, this implies that you cannot create an API cloud service that would serve any or all of the Products’ functionalities.

You remain free to build applications, tools, or products that incorporate the Products for your own use or for sale to others, as long as such applications do not constitute a competing service to the Company’s offerings.

1.8.3 How to report

Violations can be reported by emailing legal@cobalstamp.dev and must include detailed and concrete information about the Account, the content or behavior you are reporting, and how you found it, including URLs or screenshots.

The Company shall not disclose your identity to any party associated with the reported Account, except where disclosure is required by a valid order of a competent jurisdiction.

1.8.4 Handling

Accounts found to be in violation of any of Section 1.8. are subject to termination without prior notice and without reason given.

We reserve the right to deny service to anyone we feel uncomfortable doing business with.

If applicable, we will also report the incident to the appropriate authorities.

If we Terminate an account without notice, the decision is final. For other cases, we’ll take a case-by-case approach. We reserve the right in deciding if a case should be investigated or not.

We have this clause because statistically speaking, out of thousands accounts, there is at least one doing something malignant or nefarious. There are some things we staunchly stand against and this clause is how we exercise that stance.

1.8.5 Rate limiting

The Services are subject to automatic rate limiting. These limits are applied to keep the Services available and stable for all customers, and may be reached even by legitimate usage.

The Company reserves the right to throttle, limit, or reduce the bandwidth and processing capacity allocated to your Account when your usage is rate-limited or significantly exceeds the average usage of other customers, up to and including suspension as described in Section 1.8.4.

Rate limiting does not constitute downtime, a failure of service level, or a breach of these Terms, and no compensation is due under Section 1.5.1.

If you believe your needs exceed the current limits of your Account, contact support@cobalstamp.dev and we will review your plan with you.

1.8.6 Watermarking and AI regulations

Cobalstamp is a watermarking tool. As such, the Company provides only a tool to do such watermarking. As a user, you acknowledge that under no circumstances can the Company be considered a Provider nor a Deployer of an AI system generating synthetic content within the meaning of the EU AI Act, and that the obligations of Article 50 of the EU AI Act do not apply to the Company.

Since Cobalstamp is a tool, any audio marked with the Products is always marked on your behalf: the legal entity responsible for each mark, for the audio to which that mark is applied, and for the statements that mark makes about that audio (including its AI status and its provenance), is always you and never the Company.

You are fully and solely responsible for the proper application of the marks to the content you generate, create or transform. All AI-related content produced through your use of the Products must be marked as AI-related content, and it is forbidden to mark such content as non-AI-related content.

You are fully and solely responsible for safeguarding the API keys and credentials of your Account, and for disabling without delay any API key or credential that you suspect to be compromised. The Company is not responsible for any use of the Products by a third party that has obtained your API keys or credentials, and you remain fully responsible for any marking performed with them.

This allocation of responsibility does not limit the assistance the Company provides to you: within the scope of its resources, and within the scope covered by the Services and the Products, the Company remains available to help you with any problem related to a mark applied with the Products, including any question or dispute about such a mark or its detection.

1.9 Support and Contact Information

For any support inquiries or questions regarding our Products, you can contact the Company at support@cobalstamp.dev

The Company will make reasonable efforts to address user concerns in a timely manner.

1.10 Issues handling

For any matters, including but not limited to:

  • Billing

  • Account management

  • Non-technical complaints and grievances

  • Security concerns

  • Report for abuse, misuse and unacceptable use

All such matters must be communicated between the concerned user and the Company, exclusively, directly and privately, through support@cobalstamp.dev or legal@cobalstamp.dev or through other designated communication channels. The Company reserves the right to disregard any complaint or claim that is not substantiated by adequate evidence or supporting documentation.

1.11 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Paris, France.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

1.12 Amendments

The Company reserves the right to modify or update these Terms (both Section 1. and 2.) at any time without prior notice. If we do so, we will notify you via the email address on record. You are responsible for regularly reviewing these Terms for any changes.

Continued use of one of our Products constitutes acceptance of the last version of the General and Specific Terms.

1.13 Severability

If any provision of these Terms is found to be illegal, invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

1.14 Prevailing Language

These Terms may be made available to you in a language other than English. In the event of a dispute or an interpretation, the English version of these Terms prevails, no matter how the license was provided to you. If the law requires these Terms to be provided to you in another language, the version provided to you in that language prevails instead.

2. Specific Terms

In contrast to Section 1, the provisions set forth in this Section 2 shall be construed and applied in accordance with the specific type of Purchase Agreement, Offer, Quote, Account, Tier, and payment recurrence that you have agreed, used, or are using, to access the Products.

2.2 Payments and trial periods

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.

2.2.1 Waiver of Right of Withdrawal

We request your waiver of Right of Withdrawal for the following two reasons.

A “Testing” tier is provided to the users, which allows enough usage before deciding to buy any subscription.

When you purchase and use our Products, you receive immediate access to the software and its processing capabilities on your local machine. The audio watermarking is performed directly on your device, not on our servers, it cannot be “canceled” nor “returned” to us.

By buying any of our Products, you expressly acknowledge and agree to waive your right of withdrawal (14-day cooling-off period). EU Directive 2011/83/EU on consumer rights, Article 16(m)

By completing your purchase, you confirm that you understand and accept that:

  • You are being provided with immediate access to the digital content, the software and any audio watermarking results you might produce.

  • The performance of the Products has begun with your explicit consent.

  • Your statutory right of withdrawal ends when the purchase is completed.

  • The purchase is final and no refunds shall be available.

2.2.3 Periodic payments for Subscriber Accounts

By purchasing through a Subscription, the provisions of this Section shall be binding upon you.

You expressly acknowledge and agree to waive your right as explained in Section 2.2.1.

Due to the nature of the product, the Company does not offer refunds. If you truly believe you are owed a refund, you can contact us at support@cobalstamp.dev

Sometimes we change the pricing structure for our products. When we do that, we tend to exempt existing customers from those changes. However, we may choose to change the prices for existing customers. If we do so, we will give at least 30 days notice and will notify you via the email address on record.

2.2.4 Trial periods

At the end of any free trial period you may be using, either of the two will happen:

  • The account will be charged according to the user’s chosen subscription.

  • The account will be Suspended until upgraded to a paid version.

2.2.5 Usage quota

When a quantity limit is imposed for a specified time period (e.g., 1 hour per month), the following provisions shall apply:

  • The specified quantity may be consumed within the applicable time period.

  • The quota shall reset on the anniversary date of the Account, corresponding to the designated time period (daily, weekly, or monthly, as applicable).

  • Quotas are non-cumulative. Unused quota from any given period shall not carry over to subsequent periods. For example, if the monthly quota is 1 hour and such quota remains unconsumed during a given month, no additional quantity shall be granted for the following month.

2.3 Free Accounts

Free Accounts are strictly limited to non-commercial use. The following activities require a paid subscription:

  • Use of the Products in any application, service, or product that generates revenue or is offered to customers.

  • Use of the Products in any business context, including internal tools intended for commercial evaluation.

If you use the Products on behalf of a company or any other organization, you must eventually have a paid subscription plan. You may use a Free Account on behalf of a company for testing purposes only.

2.4 Attribution

In the event that your subscription, quote, or any other Purchase Agreement for the acquisition of our Products specifies a requirement for Prominent Attribution, the provisions of this Section shall be binding upon you.

The text of the Prominent Attribution must read:

“This product uses Cobalstamp technology for audio watermarking. Please see cobalstamp.dev”

or

“This product uses Cobalstamp technology for audio watermarking.” with “Cobalstamp technology” being a link to cobalstamp.dev

The Prominent Attribution must be visible on your Company’s website, with “Prominent” meaning:

  • Obvious: For example, accessible through a link in the footer of the website leading to an attribution page, listing the various libraries used, including the text of the Prominent Attribution defined above.

  • Immediate: Reachable by a single mouse click, without scrolling.
